  一、概述
  (一)、总体经营情况
  目前,公司搭建了以提供商业不动产运营为基础的运营服务平台、以提供资产管理为核心的金融服务平台、以提供儿童与青少年主题为特色的内容服务平台的三大业务平台,致力于成为中国领先的不动产综合解决方案提供商,不动产综合服务领域的领导品牌。同时加大在金融服务业务的战略布局,实现公司业绩规模的持续增长。
  报告期内,公司实现营业收入4.57亿元,同比增加58.46%,主要系金融业务收入大幅增加;实现归属于母公司所有者的净利润1.01亿元,同比增加3.50%。
  (二)、2018年上半年公司主要业务情况
  1、不动产运营服务平台:
  (1)、购物中心项目:公司主要通过经营管理自持商场和委管商场,为商户、消费者和合作方提供全面服务。一方面公司积极提升自持的购物中心皇庭广场的营业收入和品牌知名度,另一方面依托公司丰富的商业品牌和管理经验、招商资源,积极推动品牌输出,拓展了多个商业不动产的轻资产类运营服务项目,为其提供商业运营管理服务。公司将整合内部资源,加大激励措施的力度,通过投资、整租、委托管理等多种方式扩大公司商业不动产领域的管理规模,在重点省会城市及新一线城市迅速扩展版图,致力于成为商业不动产领域领先的龙头企业。
  报告期内,皇庭广场完成了重新定位与业态组合,签约率、开业率均达90%以上;策划了6档大型营销主题月活动,共计80场营销活动;客流905万人次;新签及续签品牌79家。众多新引进品牌中包括了新零售的代表"盒马鲜生"、网红餐饮"奈雪的茶"、高端餐饮"江户前"等,给广场带来新鲜血液,引领顾客消费风向。
  (2)、写字楼运营项目:公司委托管理的皇岗商务中心、皇庭中心、自持的成都环球时代中心按照经营计划稳步推进招商工作,目前招租情况良好。公司将通过重点打造品牌推广,完善商务配套,提升客户入驻体验,进行多渠道的媒体投放推广以及进行多方面的市场分析等方式提升租赁率。
  (3)、公寓运营项目:公司购入了位于重庆市九龙坡区148套商住公寓用于开展长租公寓业务,购买房产的总建筑面积为9,048.93平方米。公司将不断扩大长租公寓业务规模,提升长租公寓服务能力。
  2、金融服务平台:
继续收购了同心再贷款部分股权,收购完成后,公司按实缴注册资本直接及间接合计持有同心再贷款84.44%的股份。同心再贷款主要业务为小额再贷款业务、直接贷款业务等。报告期内,同心再贷款营业收入1.46亿元,同比增长100.66%;净利润6,746万元,同比增长35.03%。
  同时,公司积极推进同心基金、瑞泽租赁的业务发展。报告期内,同心基金、同心再贷款、瑞泽租赁的资产及客户质量优质,整体运营能力、盈利能力不断增强,已成为公司重要的盈利点之一。
  除做好现有的金融业务外,未来公司金融服务业务将与公司的商业不动产业务进一步融合,利用已有的金融牌照资源,针对不动产领域不同群体提供多元化的金融服务。
  3、内容服务平台:
公司依托青青世界品牌,委托管理了深圳青青世界主题公园,同时积极在长三角地区、珠三角地区等核心区域拓展多个青青世界项目。

  二、公司面临的风险和应对措施
  1、项目拓展进度不及预期的风险
  商业管理项目前期考察、洽谈时间较长,储备商业项目及完善真正适合商业市场和公司的业务拓展模式不会一蹴而就,项目拓展进度具有不确定性。
  对策:公司将充分利用品牌、金融机构等多方渠道获取项目资源,加强专业人员的培养及储备,完善相关市场的调研、评估工作,加快项目签约进度。
  2、金融业务经营风险
  受宏观流动性紧缩、推出资管新规的影响,金融机构收缩流动性,存量及增量业务存在下降风险。
  对策:公司将提升金融资产的质量和构成,积极探索新的融资渠道和方式,加强贷后和投后管理,完善业务模式及内控机制,对各投资项目建立切实有效的管理体制,合理规避风险。
  3、融资风险
  在"防风险、去杠杆"的金融政策导向下,2018年房地产融资环境可能持续收紧,融资成本不断攀升,行业整体面临巨大的融资压力,将对公司的融资能力提出更高的要求。
  对策:公司将加强资金管理和融资品种创新,降低融资成本,拓展多元化融资渠道,解决资金来源单一的现状。 收起▲
