  一、概述
  第一部分2017年总体经营情况
  2017年,在行业战略转型、产业升级的形势下,公司顺应市场形势变化,加强成本管控和内部管理体系建设,专注产品技术研发,提升自身核心竞争力。同时,积极推进公司转型升级,着力加强租赁公司金融资本和黄金珠宝业务资源的产融结合,不断向产业链优化和金融服务领域拓展,构建金融和实业双轮驱动的综合化、多元化投资控股企业集团。
  2017年公司主营业务收入完成116.98亿元,实现利润总额13.46亿元,实现归属于上市公司股东的净利润10.22亿元,2017年每股收益0.48元。截止2017年12月31日,公司总资产360.76亿元,归属于上市公司股东的所有者权益94.2亿元,公司2017年度资产营运质量总体良好。
  2017年度,丰汇租赁有限公司实现净利润85,226.50万元,扣除非经常性损益后的净利润金额为84,705.55万元,实现归属于母公司股东的扣除非经常性损益之后的净利润为76,235.00万元。2015年度、2016年度及2017年度丰汇租赁有限公司合计实现归属于母公司股东的扣除非经常性损益之后的净利润为207,002.34万元,较丰汇租赁三年累计承诺净利润合计数207,000万元多2.34万元,完成了本次重大资产重组提出的三年业绩承诺。
  2017年度,公司(不含丰汇租赁)实现净利润25,755.90万元,实现归属于上市公司股东的扣除非经常性损益之后的净利润为25,021.87万元。2015年度、2016年度及2017年度合计实现归属于母公司股东的扣除非经常性损益之后的净利润为61,636.17万元,较三年累计承诺净利润合计数60,000万元多1,636.17万元,完成了本次重大资产重组时提出的三年业绩承诺。
  第二部分2017年公司完成的主要工作
  2017年,在公司董事会领导下,公司主要完成了以下工作:
  (一)完善公司黄金金融产业链布局,促进金融资本和黄金业务的资源整合
  报告期内,公司收购浙江杭州余杭农村商业银行股份有限公司的5%股份、杭州余杭科技担保有限公司的94.05%股权和杭州众信典当有限责任公司的70%股权,完善金融服务产业布局。通过收购资产进一步提高公司盈利能力、综合竞争能力和持续发展能力,快速提升公司金融服务产业竞争力,更好实现产业与金融结合。
  2017年11月,公司审议与紫金矿业集团资本投资有限公司合作设立金洲(厦门)黄金资产管理有限公司,顺应传统黄金产业和互联网科技、金融服务相结合的产业发展趋势,布局互联网黄金金融业务,通过深度参与厦门黄金产业园运营及黄金精炼、加工、批发零售、国际贸易、消费金融支持、旧金回收及旅游文创等多种渠道的产融结合,促进现有产业转型升级,实现黄金产业链业务资源的战略整合。
  依托在黄金珠宝产业链深耕多年的管理经验,公司发挥资金、系统管理及人才优势,整合基于现代物流的黄金精炼、生产批发服务网络、品牌客户资源数据库、线上线下终端门店资源,开发升级面向消费终端的数据化智能化消费金融技术平台,加快公司黄金珠宝全产业链的构建,打造黄金实体+互联网技术+金融生态产业圈,逐步形成基于黄金产业链的有机结合、高效运转的产融结合新生态。
  (二)提高资产管理及风险控制能力,投租联动等新业务成为业务新常态
  基于融资租赁业务模式特性和我国各行业发展周期、经营特点、风险特征等方面存在的共性,公司对存续项目行业分布进行了分析,通过分析对各行业的共性及特性有了进一步的认识和理解,也从行业维度对公司大部分存续项目进行了一次梳理,为后续的项目评审和贷后管理提供了较为系统和稳定的标准,提高了工作效率。
  公司拓宽贷后管理的思路和理念,将贷后管理从项目转向资产,尝试在"大资管"的理念下进行公司资产的管理及盘活。在主动管理好项目的基础上,与同行业、其他金融机构积极沟通,多维度促进资产质量提升,提高公司资产活力。为促进产品研究与风险控制的无缝对接,产品研究人员在2017年通过密切参与评审项目,加深了对公司项目、交易结构、风控措施的理解,使研究成果更贴近实际操作;风控官在审查项目亦能充分借鉴和应用产品研究部的行业研究经验及成果。公司积极探索新的管理方式,将主要精力从各种支出审批中逐步转移到对项目整体进度的把握、关键工程节点的推进、项目风险的预判以及项目接盘方案的准备上,充分调动项目方推进项目进展的积极性,提高管理效率。
  在业务经营方面,丰汇租赁积极推进投租联动的主业务方式,积极与各领域客户对接,提供包括资金通道、产业整合、资产交易等全周期、全流程、全方位的投融资服务,全力打造"租赁PE生态圈",提供全产业链的"成长型股权+租赁"的投资策略,助力传统产业转型升级,推进大项目大基金成立,支持新兴产业发展。
  2017年,丰汇租赁深耕体育产业业务领域,选择可作为天然租赁物的装备式体育场馆作为体育产业投资的切入点,通过投租联动的投资模式,将体育场馆作为重资产,以体育生态场馆及体育商业地产的运营思路嫁接轻资产体育运营公司,切入国内庞大的体育培训市场,形成以篮球、足球、羽毛球、排球、网球、游泳及冰球为主要内容的梯队培训体系及专业化运营品牌,形成轻重资产并举、投租模式联动的整体投资框架,在享有融资租赁固定债权收益的同时,分享轻重资产的股权估值溢价收益。同时,基于前期与环保新材料企业良好的项目合作关系,伴随合作企业的迅猛发展,从而获得股权投资机会。
  (三)多点发力,继续保持黄金珠宝业务传统优势本年度,公司为巩固市场,建立适合自身发展的新模式,提升终端顾客的认知度和顾客体验品质,于2017年结合自身优势制定大终端品牌战略,首先以建立华东、华南、华中、华北、西南五大子公司作为区域市场总代理。战略以集团公司为品牌输出源,以区域子公司为市场开拓、产品配送、销售服务等全面开启金叶珠宝品牌战略。公司有效推进建设步伐,2017年上半年,公司在深圳、武汉及青岛等区域中心城市投资的大型零售终端金叶珠宝广场相继开业,标志着金叶珠宝大终端品牌战略华南、华中及华东三大区域运营中心正式成立。同时,为扩展公司的产品种类,公司与比利时塔斯钻石公司达成战略合作协议,双方强调要发挥各自优势,共同打造适合市场的更多优质产品,同时建立在原材料、设计制作、市场模式等多方面战略合作,实现共赢,为中国未来钻石市场发展作有力的推动。
  公司以研发生产为核心优势,20多年来一如既往重视珠宝行业的技术创新、工艺改良及设备升级,并不断瞄准行业的前沿顶端技术,大胆引进高新科技设备及高水平的技术人才,不断提升公司产品质量管理水平。2017年,公司不仅加强设计研发中心的构建,在产品工艺上也有创新突破,用于加工镂空产品的水融蜡工艺及对精细化程度要求较高的七彩拉丝工艺均获得了技术提升,使公司技术工艺一直保持业内领先制造水平。公司自主研发产品有概念黄金精品系列、文化黄金精品系列、时尚黄金精品系列、钻石精品系列等;年度还推出一系列激萌灵动的珠宝作品,精美十二星座"神器"等系列金饰。截至目前,公司获得470多项国家专利,包括3项发明专利,50多项实用新型专利,继续保持黄金珠宝业务传统优势。
  在设计研发方面,公司拥有30多人的设计研发中心,设计师在深圳、东莞及国内各大运营中心,每年均向国家工商总局申报研发的外观专利产品、实用新型发明专利产品。2017年,公司不仅继续加强设计研发中心的构建,还在产品工艺上不断创新提升,其中水融蜡工艺、七彩拉丝工艺及、3D技术及合金导模技术等均处于行业领先地位,进一步降低公司生产成本的同时大大提升产品品质。
  (四)加强内部控制,完善制度流程,建立健全公司内控体系本年度公司不断完善内部控制体系建设,使公司内部控制活动及各项内部控制制度符合国家有关法律、法规和监管部门的要求,保障公司经营管理的各个层面和各环节,具有规范性、合法性和有效性,适应公司管理和发展的需要。
  在风险管控方面,丰汇租赁公司不断完善风险管理控制体系。丰汇租赁在第二季度推动合规部及资产保全部的合并,成立法律合规中心,统一法律事务管理。法律合规中心组建后,承接原合规部及资产保全部的职能,同时扩充部门职责范围,全面负责公司事务中的各项法务工作,进一步加强了贷前贷后法律合规工作的延续性。在实际工作中,针对贷前项目审查,合并原合规意见及保全意见流程,改为由单人跟踪项目评审流程并出具意见,有效节约时间成本,并推动合规人员全面了解项目;在加大对贷后不良项目处置的人力及时间配置方面,原合规部人员发挥较了解项目的优势,为贷后逾期项目提供支持协助,并全面协助处理催款、立案、诉讼等流程。
  在运营管理及制度建设方面,2017年丰汇租赁继续开展全范围的内部控制建设及流程梳理工作,推行规范化、标准化管理。于2017年上半年形成《丰汇租赁有限公司业务流程操作指引》,该指引重点关注了流程涉及人员的操作要点,强化了每个控制所需要的资料清单、检查要点,明确提示审批人需要关注的审批重点,确定了每个流程的相关责任人,最终达到公司实际工作情况契合公司的内控体系,同时又满足合规要求。
  (五)加强信息化建设,提高企业管理水平和运转效率公司与信息科技公司加强合作,借助数据化管理工具提升公司运营管理方向,推进大数据在珠宝门店与珠宝品牌中的推广运用,积极探讨新的商业业态和营销模式。
  2017年初,丰汇租赁启动了业务系统二期开发项目,并于11月27日正式上线试运行。此次开发是在业务系统原有功能模块的基础上,对系统中的贷后模块及资金模块进行升级,涉及功能模块包括贷后管理、对外理财管理、对外融资管理、ABS/N管理、资金类报表共计五大类,包含49个功能项。在完成上线后,资金中心的日常工作将摈弃所有手工表格及人工传递数据的工作,完全实现资金模块从业务端至财务系统的数据传输功能。

  公司黄金加工批发业务已成规模化、专业化、规范化、常态化趋势,是国内规模最大的黄金珠宝生产加工企业之一。公司于近年不断拓展黄金珠宝产业链的上下游,积极通过多种方式完善产业链条,由传统加工业向上下游产业延伸,围绕黄金矿山建设投资、黄金首饰生产加工、珠宝首饰品牌零售三大业务板块,将公司打造为集黄金探、采、选、冶及黄金珠宝设计、生产、批发、零售的全产业链的大型黄金珠宝企业集团。

  1、黄金珠宝行业
  黄金珠宝行业在我国的发展起步时间较晚,黄金珠宝的竞争格局正在慢慢形成。目前,国内黄金珠宝高端市场,主要被卡地亚(Cartier)等国际珠宝巨头所垄断,而占据市场主要份额的中端市场则竞争激烈,各大黄金珠宝公司纷纷加快销售渠道的建设步伐,扩大品牌影响力,以便迅速占领市场。黄金珠宝行业是朝阳产业,市场容量和成长空间大,在国民经济飞速发展和居民收入稳步提高同时,我国珠宝首饰行业呈现了高速发展的态势,金银珠宝等高弹性的消费品将成为本轮居民消费结构快速升级的最大受益者,考虑到中国人均珠宝消费相对较低,未来市场空间仍然广阔。同时,黄金珠宝整体行业集中度偏低,为珠宝龙头企业做大做强、收购兼并国内同行业企业提供了机会。未来黄金珠宝行业空间和潜力仍然很大,并且具有完整产业链的企业将在洗牌过程中获得更大的市场份额。
  2、融资租赁行业
  近年来,全国融资租赁业呈现稳步发展态势,企业数量、注册资金和业务总量,都在稳步增长,但融资租赁渗透率仍处于较低水平,截至2017年末,融资租赁渗透率(期末融资租赁合同余额/期末社会融资规模存量)仅为3.5%。与西方国家20%左右的比例相比,我国的租赁渗透率明显偏低,随着融资租赁行业的发展和租赁渗透率的提高,未来我国的融资租赁具有较为广阔的市场空间。
  "十三五"时期,推进供给侧结构性改革是我国经济发展的战略重点,融资租赁融资与融物相结合的特性,决定了行业在推进"一带一路"、京津冀协同发展、长江经济带、"中国制造2025"和新型城镇化建设等国家重大战略,以及加快壮大战略性新兴产业、培育发展新动能等方面将面临巨大发展机遇、发挥重要作用。随着行业发展环境日益完善,我国融资租赁行业规模仍将继续保持平稳较快增长,在产业结构升级、与实体经济细分领域深入结合的需求下,行业企业数量、业务实力、投放规模、业务范围有望取得更大突破。
  (二)公司未来发展战略
  在公司收购丰汇租赁有限公司后,推动公司黄金产业与黄金金融产业并举发展,形成黄金产融结合、协同发展的经营模式。
  1、黄金金融发展战略结合公司的黄金业务及丰汇租赁的融资租赁业务,公司大力发展黄金租赁服务,实现产业与金融的有效结合。黄金租赁是公司切入黄金产业链金融服务领域的第一步,并逐步向黄金金融其他业务板块拓展,最终成为黄金全产业链金融服务提供商。
  2、融资租赁发展战略
  聚焦国家政策支持的朝阳产业,实现新能源、节能环保、大健康、高端智能等产业的深耕,结合国家一带一路政策、PPP趋势,拓展高端制造、公共设施领域的业务。立足于融资租赁业务,抢占可盘活优质资产,做大资产规模的同时提高资金周转率,降低资金成本,形成良性循环。
  (三)2018年经营计划
  1、加大租赁与黄金业务整合,提高协同效应公司将进一步促进融资租赁业务与公司原有黄金珠宝业务板块的有效整合,形成融资租赁与公司现有黄金珠宝业务板块相互支撑、产融结合、共同促进的业务格局。引入融资租赁业务后,公司成为国内首家拥有自身融资租赁服务平台的黄金珠宝产品服务提供商,经营模式由单一的黄金珠宝首饰开发设计、生产加工和批发零售转变为"黄金+租赁"的双轮驱动,公司也转变为综合化经营多元化服务的投资控股企业,将促进两大业务板块的相互融合,创新发展模式,不断提升未来的盈利能力。
  2、稳步推进融资租赁业务的发展融资租赁产业作为现代服务业中的重要行业,是国家重点发展和扶持的对象。2015年9月国务院办公厅发布《关于加快融资租赁业发展的指导意见》,明确要求到2020年,融资租赁业务领域覆盖面不断扩大,融资租赁市场渗透率显著提高,成为企业设备投资和技术更新的重要手段;鼓励融资租赁公司积极服务"一带一路"、京津冀协同发展、长江经济带、"中国制造2025"和新型城镇化建设等国家重大战略;支持融资租赁创新发展,支持融资租赁公司与互联网融合发展,加强与银行、保险、信托、基金等金融机构合作,创新商业模式。
  公司将充分发挥租赁平台的产业支持政策,努力通过降低租赁运营成本来全面提高效益,积极通过境内外资本市场、债券市场、银行间市场筹资,提升租赁业务的资金筹措能力,通过产品、服务、经营模式等方面的不断完善和优化来保证效益增长。
  3、提升以黄金租赁为重点的黄金金融服务,向供应链黄金金融服务纵深发展黄金供应链金融将服务于大中型黄金首饰加工及零售公司、黄金经贸公司,为行业上下游客户提供黄金金融资金支持,提升客户资金周转效率,提供增值服务。公司黄金金融结合发展模式,通过有效整合黄金产业资本与金融资本,助推公司转型升级,有效利用金融工具提升整个黄金产业链的核心竞争力。公司融资租赁、典当、担保等金融平台专业的方案设计、风控保障,为公司黄金金融服务提供多样化资产配置和风险管理,为产融结合的发展提供支撑和拓展空间。
  (四)未来面临的风险
  1、市场和宏观经济因素风险:国际经济未完全复苏,国内经济增长降低,国内宏观经济调控政策的出台,通货膨胀压力持续增强等因素的影响下,公司销售业绩将受到一定程度的影响,公司经营管理层将通过进一步完善产品结构、拓展销售渠道、控制经营成本、引进优秀人才等方式,以降低市场和宏观经济形势的不利影响。
  2、原材料价格波动风险:黄金原料价格的大幅度波动,会导致公司遭受较大损失并提取大额存货跌价准备、影响公司业绩。为尽可能降低原材料价格剧烈波动对公司业绩的影响,公司将调整产品库存、增加产品周转速度;通过套期保值及黄金租赁等方式,实现对风险的有效对冲。
  3、商誉减值风险:公司本次收购完成丰汇租赁后,确认了较大额度的商誉。虽然公司与本次重组的交易对手签订股权转让合同时约定了丰汇租赁未来三年的业绩承诺标准及补偿措施,可在较大程度上抵补可能发生的商誉减值损失金额。然而,若丰汇租赁未来经营中不能较好地实现收益,收购丰汇租赁90%股权所形成的商誉则将存在较高的减值风险,从而影响公司的当期损益。
  4、信用风险:信用风险主要是指承租人及其他合同当事人因各种原因未能及时、足额支付租金或履行其义务导致出租人面临损失的可能性,是租赁公司面临的主要风险之一。在面临市场需求、竞争环境、政策变动及流动性供给因素的波动时,承租人有可能无法履行租赁合约,进而对公司造成不利的影响。目前公司现有租赁业务领域的承租人信用等级较高,信用记录良好,公司建立了完善的风险管理组织和制度,制定了对租赁项目的持续跟踪制度,及时了解承租人财务、信用等方面信息,有效控制信用风险。 收起▲
