  1、寻求重组
  2018年8月27日,公司、公司控股股东中弘卓业与加多宝集团有限公司及深圳前海银谊资本有限公司共同签署了《债务重组及经营托管协议》,加多宝集团有限公司及深圳前海银谊资本有限公司拟对公司提供流动性支持和债务重组,并择机注入相关资产。
  上述协议尚需本公司董事会审议通过后方可实施,存在董事会审议无法通过的风险及其他相关法律风险。同时,上述协议能否顺利履行也存在不确定性,存在随时被终止的风险。
  2、加快资产出售
  目前,公司在积极推进公司库存房产销售的同时,正跟多家机构积极商谈资产出售事宜,将通过出售相关资产回笼资金,争取早日偿还到期借款。
  公司与海南罗胜特投资有限公司已于2018年7月8日签署了附加生效条件的《股权转让协议》,公司拟以14亿元的价格转让如意岛公司100%股权。该事项已经公司第七届董事会2018年第三次临时会议、第七届监事会2018年第一次临时会议及2018年第二次临时股东大会审核通过。
  3、催收应收账款
  公司财务部门牵头,组织相关部门和人员加快应收账款和其他应收款的催收,部分缓解流动性压力,维持公司正常运营。
  2018年1-6月,公司实现主营业务收入247,733.91万元,较上年同期增加9.04%;利润总额-137,506.16万元,较去年同期下降2,043.45%;实现归属于母公司所有者的净利润-132,637.38万元,较上年同期下降4,625.39%;基本每股收益-0.16元/股;截至报告期末,公司总资产4,514,203.23万元,较上年度末减少0.09%;归属于母公司所有者权益632,924.85万元,较上年度末减少13.60%;每股净资产0.75元。

  二、公司面临的风险和应对措施
  公司面临被强制退市的风险。
  根据《深圳证券交易所股票上市规则》第14.4.1条第(十八)点的规定,公司股票连续二十个交易日(不含公司股票全天停牌的交易日)的每日股票收盘价均低于股票面值(即1元),将存在被强制终止上市的风险。目前,公司股票已连续超过十个交易日收盘价均低于股票面值(即1元),面临被强制退市的风险。
  目前公司正积极寻求解决方案,但存在重大不确定性,提请投资者注意投资风险。

  三、核心竞争力分析
  报告期内,公司作为房地产开发企业,由于资金紧张,在建地产项目基本上都处于停工状态,房地产经营业务核心团队及对应人才不断流失,因此就主营房地产业务而言,公司已不具备竞争力。 收起▲
